1.  INTRODUCTION

Welcome to Bantoo Chat! By using our services, you agree to these Terms of Use ("Terms").
Please read them carefully. If you do not agree with these Terms, you may not use Bantoo Chat.


2.  Eligibility

To use Bantoo Chat, you must:

  • Be at least 15 years old (or the minimum age in your jurisdiction).

  • Have the legal capacity to enter into a binding agreement.

  • Provide accurate and up-to-date information during registration.


3.  Your Responsibilities

As a user of Bantoo Chat, you agree to:

  • Use the app only for lawful purposes.

  • Respect the rights of others, including intellectual property and privacy rights.

  • Not engage in activities that harm or disrupt the service (e.g., hacking, spamming, or
    sending malware).


4.  Prohibited Activities

You may not:

  • Bantoo Chat to distribute illegal, abusive, or harmful content.

  • Misrepresent your identity or impersonate others.

  • Engage in fraudulent activities, including unauthorized payments or transactions.

  • Reverse-engineer, decompile, or otherwise tamper with the app.


5.  Intellectual Property

Bantoo Chat and its associated content, features, and technologies are the exclusive property of Bantoo. You may not copy, modify, distribute, or create derivative works based on our
intellectual property without prior permission. 


6.  Embedded Finance Features

Bantoo Chat’s embedded finance features, including wallet services and payment methods
powered by Bantoo Pay, are provided for your convenience. By using these features, you agree
to:

  • Adhere to all applicable financial laws and regulations.

  • Provide accurate payment information.

  • Accept that transactions may be subject to third-party processing fees and local taxes.


7.  Account Security

You are responsible for maintaining the confidentiality of your account credentials. Notify us
immediately if you suspect unauthorized access or activity on your account.


8.  Limitation of Liability

To the extent permitted by law, Bantoo Chat is not liable for:

  • Indirect, incidental, or consequential damages arising from your use of the app.

  • Loss of data, unauthorized access, or service interruptions.


9.  Suspension and Termination

We may suspend or terminate your access to Bantoo Chat if you violate these Terms or engage
in prohibited activities. In such cases, you may lose access to your account and associated data.


10.  Privacy

Our Privacy Policy explains how we collect, use, and protect your personal data. By using Bantoo
Chat, you agree to our Privacy Policy.


11.  Modifications to Terms

We may update these Terms periodically to reflect changes in our services or applicable laws.
Continued use of Bantoo Chat after updates constitutes acceptance of the revised Terms.


12.  Dispute Resolution

For disputes arising from or related to Bantoo Chat, you agree to:

  • Attempt resolution through negotiation or mediation before pursuing legal action.

  • Submit to the jurisdiction of the International Chamber of Commerce courts in London.

Any dispute, controversy, or claim arising out of or in connection with these Terms or the breach,
termination, or validity thereof shall be resolved by binding arbitration in accordance with the
International Chamber of Commerce rules, which are deemed to be incorporated by reference
into this clause.

The place of arbitration shall be London, and the language of arbitration shall be English
language. The arbitration shall be conducted by a panel of three arbitrators, appointed in
accordance with the rules of the chosen institution. The arbitration award shall be final and
binding, and judgment on the award may be entered in any court having jurisdiction thereof.


13.  Governing Law

These Terms are governed by the laws of the International Chamber of Commerce courts in
London, without regard to its conflict of law principles.

SERVICE AGREEMENT

1.  INTRODUCTION

Welcome to Bantoo Chat! This Service Agreement ("Agreement") governs your use of Bantoo
Chat’s services, including communication tools, embedded finance features, and value-added
services. By using Bantoo Chat, you agree to this Agreement. If you do not agree, please refrain
from using our services.


2.  Definitions

We may collect the following types of information:

  • ""Bantoo Chat" refers to the BantooChatapplication and all related services.

  • "User" refers to any individual or entity accessing Bantoo Chat.

  • "Embedded Finance Features" include wallet transactions, "Tap & Pay," and other
    financial tools, powered by Bantoo Pay.


3.  User Obligations

As a user, you agree to:

  •  Provide accurate, complete, and updated information during registration.

  • Use the services only for lawful purposes.

  • Keep your account credentials secure and confidential.

  • Notify us immediately if you suspect unauthorized access to your account.


4.  Prohibited Activities

You may not:

  • Engage in fraudulent or deceptive activities.

  • Use the platform for distributing harmful or illegal content.

  • Interfere with the functioning of the app (e.g., by hacking, spamming, or introducing malware).

  • Use the app to infringe on the rights of others, including intellectual property and privacy rights.

We implement advanced security measures to protect your information, including encryption for communications and financial transactions.


6.  Merchants on Bantoo Chat

Merchants using Bantoo Chat’s platform to receive payments must:

  • Adhere to applicable laws and regulations.

  • Ensure transparent and lawful business practices.

  • Handle refunds and disputes in accordance with Bantoo Chat’s Refund Policy and their own policies.


7.  Data Privacy

Your privacy is important to us. Our Privacy Policy outlines how we collect, use, and protect your personal information. By using Bantoo Chat, you agree to the terms of the Privacy Policy.


8.  Intellectual Property 

Bantoo Chat and its content, including trademarks, logos, and software, are protected by intellectual property laws. Users may not copy, modify, distribute, or create derivative works without prior authorization.


9.  Termination of Services

We reserve the right to suspend or terminate your access to Bantoo Chat if you:

  • Violate this Agreement.

  • Engage in prohibited activities.

  • Use the platform in a manner that compromises its integrity or security.


10.  Limitation of Liability

To the extent permitted by law, Bantoo Chat is not liable for:

This Agreement is governed by the laws of the International Chamber of Commerce courts in
London, without regard to conflict of law principles. Any disputes will be resolved under the

REFUND POLICY

Effective date: 1 January 2025

1.  Overview

At Bantoo Chat, we are committed to providing a seamless and transparent user experience. This Refund Policy outlines the conditions under which users may request refunds for payments made through Bantoo Chat’s embedded finance features, including wallet transactions and "Tap & Pay" services.


2.  Refund Eligibility

Refunds may be issued in the following circumstances:

  • Unauthorized Transactions: If a payment was made without your consent and is verified
    as unauthorized.

  • Technical Errors: When a transaction fails due to a system error, but funds were deducted from your account.

  • Service Not Delivered: If you paid for a service or product via Bantoo Chat and the service or product was not delivered as promised.

  • Duplicate Payments: If you accidentally make multiple payments for the same transaction.


3.  Non-Refundable Scenarios

Refunds will not be provided for:

  • Transactions made intentionally by the user that meet all specified terms.

  • Errors arising from incorrect user input (e.g., sending payments to the wrong recipient).

  • Payments for services or products delivered as agreed.

  • Payments made to third-party services or merchants outside Bantoo Chat’s platform.


4.  Refund Request Process

To request a refund:

  1. Contact Bantoo Chat Support via support@bantoochat.com or the in-app Help Center.

  2. Provide the following details:
    ◦ Transaction ID.
    ◦ Date and time of the transaction.
    ◦ Reason for the refund request.
    ◦ Any supporting documents or evidence (e.g., screenshots, receipts).

  3. Our support team will review your request and respond within 7 business days.


5.  Refund Approval and Processing
  • Refunds are subject to approval based on the eligibility criteria outlined in this policy.

  • Approved refunds will be processed back to the original payment method or as a credit to your Bantoo Chat wallet, depending on the circumstances. 

  • Processing times may vary depending on your financial institution but generally take [Insert Timeframe, e.g., 5-10 business days].


6.  Chargebacks

If you dispute a transaction through your financial institution, this is considered a chargeback. In such cases:

  • Bantoo Chat will cooperate with the financial institution to resolve the issue.

  • The resolution process may take additional time depending on the financial institution’s policies.


7.  Refunds for Merchants

For merchants using Bantoo Chat’s payment platform:

  • Refunds initiated by the merchant are their sole responsibility, and they must adhere to this Refund Policy.

  • Merchants must process refunds in compliance with applicable laws and their individual refund policies.


8.  International Transactions

For transactions involving currency conversion or cross-border payments:

  • Refund amounts may vary due to exchange rate fluctuations and processing fees.

  • Users are responsible for any additional fees incurred during international refunds.


9.  Amendments to This Policy

Bantoo Chat reserves the right to update this Refund Policy at any time. Changes will be
communicated via the app or our website. Continued use of Bantoo Chat signifies acceptance
of the revised policy.

Merchant AGREEMENT

Effective date: 1 January 2025

1.  INTRODUCTION

This Merchant Agreement ("Agreement") governs the use of Bantoo Chat’s payment platform by
merchants ("Merchants") for accepting payments from customers. By registering as a Merchant
and using Bantoo Chat’s services, you agree to this Agreement. If you do not agree, you must
cease using the platform.


2.  Definitions

We may collect the following types of information:

  • "Bantoo Chat" refers to the application and its payment platform.

  • "Merchant" refers to a business or individual using Bantoo Chat’s platform to accept payments.

  • "Customer" refers to any individual or entity making a payment to the Merchant via Bantoo Chat.

  • "Wallet" refers to Bantoo Chat’s integrated payment tool enabling transfers, payments, and other financial activities, powered by Bantoo Pay.


3.  Merchant Obligations

Merchants must:

  • Provide accurate and complete business information during registration.

  • Maintain compliance with all applicable laws, including those related to consumer protection, financial transactions, and taxation.

  • Use the platform exclusively for lawful purposes.

  • Clearly communicate pricing, refund policies, and terms to customers.


4.  Use of the Payment Platform

Merchants agree to:

  • Accept payments only for goods or services that comply with Bantoo Chat’s policies.

  • Ensure transactions are accurately recorded and documented.

  • Promptly resolve disputes or chargebacks with customers.

  • Comply with Bantoo Chat’s Refund Policy.


5.  Payment Processing
  • Bantoo Chat provides payment processing services, including wallet transactions and "Tap & Pay" functionality.

  • Funds received through Bantoo Chat may be subject to processing fees, as outlined in the Merchant’s account agreement.

  • Payments will be transferred to the Merchant’s designated account within 7 business days, subject to verification.


6.  Fees and Taxes
  • Merchants are responsible for paying any applicable transaction fees, which will be deducted before funds are transferred.

  • Merchants are solely responsible for reporting and remitting taxes arising from
    transactions processed through Bantoo Chat.


7.  Refunds and Chargebacks
  • Merchants must handle customer refunds in accordance with their own refund policies,
    which must be clearly communicated.

  • Bantoo Chat reserves the right to deduct chargeback amounts and related fees from the Merchant’s account if disputes are resolved in favor of the customer.


8.  Prohibited Activities

Merchants may not use Bantoo Chat for:

  • Selling illegal, counterfeit, or prohibited goods and services.

  • Engaging in fraudulent, deceptive, or misleading activities.

  • Processing transactions on behalf of third parties or using the platform for money laundering.


9.  Data Protection and Privacy
  • Merchants must comply with data protection laws applicable to their operations.

  • Bantoo Chat’s Privacy Policy governs the collection, use, and protection of personal data shared on the platform.


10.  Account Termination

Bantoo Chat reserves the right to suspend or terminate a Merchant’s account if:

  • The Merchant violates this Agreement or any applicable law.

  • The Merchant’s activities pose a risk to Bantoo Chat or its users.

  • The Merchant engages in prohibited activities or fraudulent practices.


11.  Liability and Indemnification
  • Bantoo Chat is not liable for any losses arising from a Merchant’s use of the platform, except as required by law.

  • Merchants agree to indemnify Bantoo Chat against claims, damages, or expenses arising from their use of the platform.


12.  Amendments to the Agreement

Bantoo Chat may update this Agreement to reflect changes in services or applicable laws.
Updates will be communicated through the app or our website. Continued use of the platform
constitutes acceptance of the revised Agreement.


13. Governing Law

This Agreement is governed by the laws of the International Chamber of Commerce courts in London,. Any disputes will be resolved under the jurisdiction of the courts International Chamber of Commerce courts in London.
